1. Definitions

In these Terms and Conditions, "Service" refers to the consulting services provided by Thumon, "User" or "You" refers to any individual or entity accessing our website or engaging our services, "We", "Us", or "Our" refers to Thumon, "Website" refers to the website located at https://thumonemy.live, "Content" means all text, images, data, and materials available on or through our website, and "Agreement" refers to these Terms and Conditions together with any scope document agreed for a specific engagement.

2. Acceptance of Terms

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services. You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

Thumon provides business consulting services including Regulatory Navigation Advisory, Revenue Model Assessment, and Partnership Development Framework. Services are delivered as described on our website and in individual scope documents agreed with each client. Service availability may vary and we reserve the right to modify, suspend, or discontinue any service at our discretion with reasonable notice.

4. User Responsibilities

Deliverables produced as part of a paid engagement become the property of the client upon full payment, unless otherwise specified in the scope document.

6. Payment Terms

Fees for our services are as published on our website or as agreed in individual scope documents. All prices are quoted in Hong Kong Dollars (HKD). Payment is due upon agreement of the scope document unless otherwise specified. We accept bank transfer and other methods as communicated during the engagement process. Late payments may incur reasonable administrative charges.

Refunds are considered on a case-by-case basis. If we are unable to deliver the agreed scope for any reason attributable to us, we will offer a full or partial refund as appropriate. Refund requests must be made in writing within 14 days of the relevant event.

7. Service-Specific Terms

Engagement scope: Each consulting engagement is governed by a scope document that outlines the deliverables, timeline, fee, and responsibilities of both parties. Work begins only after the client approves the scope document.

Changes to scope: If the scope of an engagement needs to change during delivery, we will discuss the implications with you and agree any adjustments in writing before proceeding.

Confidentiality: We treat all client information as confidential. Non-disclosure agreements are provided as standard for all engagements. Details of our confidentiality obligations are outlined in the scope document.

8. Disclaimers

Our consulting services are provided on an "as is" basis. While we strive to deliver accurate, well-researched, and practical advice, we do not warrant that our recommendations will produce any specific business outcome. The information on our website is for general informational purposes and does not constitute professional advice. 9. Limitation of Liability

To the maximum extent permitted by Hong Kong law, Thumon shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. Our total liability for any claim arising from an engagement shall not exceed the fee paid for that specific engagement. Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Hong Kong law.

10. Indemnification

You agree to indemnify and hold Thumon, its directors, employees, and agents harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these terms, your misuse of our website or services, or your violation of any applicable law or regulation.

11. Termination

Either party may terminate a consulting engagement by providing written notice. If you terminate an engagement after work has commenced, fees for work already completed are non-refundable. We may suspend or terminate your access to our website if we reasonably believe you are in breach of these terms. Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

12. Dispute Resolution

These terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising from or related to these terms or our services shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, either party may submit the dispute to the Hong Kong International Arbitration Centre (HKIAC) for resolution under its applicable arbitration rules. The language of the arbitration shall be English.

13. General Provisions

Entire agreement: These terms, together with our Privacy Policy, Cookie Policy, and any scope documents, constitute the entire agreement between you and Thumon.

Severability: If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations without restriction.

Force majeure: We shall not be liable for delays or failure to perform resulting from circumstances beyond our reasonable control, including natural disasters, government actions, or disruptions to communications infrastructure.

14. Changes to These Terms

We may revise these Terms and Conditions from time to time. Changes will be posted on this page with an updated "Last Updated" date.
